Terms & Conditions

1. Introduction
These Terms & Conditions (“Terms”) govern the provision of web design, development, hosting, and related digital services by Information Technology Services (“ITS”, “we”, “us”, “our”), a company registered in England & Wales, to clients (“you”, “the Client”).
By engaging our services or signing a service agreement, you agree to these Terms in full. If you do not agree, please do not engage our services.
2. Our Services
ITS provides the following services, as agreed in your service plan:
- Website design and development using niche-specific templates
- Domain setup and configuration
- Hosting and SSL certificate management
- Content management system (CMS) setup and training
- Monthly website maintenance and updates (Growth and Premium plans)
- Search engine optimisation (SEO) health checks
- Google Analytics 4 setup and reporting
- Add-on services (WhatsApp button, booking systems, payment setup, etc.)
3. Setup Fees and Monthly Charges
Our pricing consists of a one-off setup fee and a rolling monthly fee, as set out in your chosen plan at the time of engagement. Current prices are displayed on our website at its-digital.co.uk/#pricing.
The setup fee is due prior to commencement of work. Monthly fees are billed on a rolling basis from the date of your website going live. All prices are quoted in pounds sterling (GBP) and are exclusive of VAT where applicable.
4. Payment Terms
Setup fees are payable in full before work begins. Monthly fees are due on or before the billing date each month. We reserve the right to suspend services if payment is more than 14 days overdue and to terminate the agreement if payment remains outstanding for more than 30 days.
Late payments may attract interest at 8% above the Bank of England base rate per annum in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Cancellation and Notice Period
Our services operate on a rolling monthly basis. Either party may cancel with 30 days' written notice (via email to hello@its-digital.co.uk). No minimum contract period applies unless otherwise agreed in writing.
Upon cancellation, your website will remain live until the end of the paid notice period. After that, hosting and support will cease. We will provide a full export of your website files and content upon request.
Setup fees are non-refundable once work has commenced. If we are unable to complete the project due to circumstances within our control, a proportional refund of the setup fee may be issued at our discretion.
6. Client Responsibilities
To enable us to deliver your project, you agree to:
- Provide accurate and complete information in your project brief
- Supply all required content (text, images, logos) in a timely manner
- Respond to review requests and feedback rounds within 5 working days
- Ensure that any content you provide does not infringe third-party rights
- Keep your login credentials confidential if CMS access is provided
- Notify us promptly of any changes to your contact details or billing information
7. Revisions and Amendments
Each project includes two rounds of revisions as standard. Additional revision rounds or significant scope changes will be quoted separately and agreed in writing before work commences.
Monthly maintenance plans (Growth and Premium) include a defined number of update hours per month as set out in your plan. Unused hours do not carry forward to subsequent months.
8. Intellectual Property
Upon receipt of full payment of the setup fee, ownership of the website design and bespoke code created for your project transfers to you. You are free to use, modify, and distribute it as you see fit.
ITS retains the right to display completed work in our portfolio unless you request otherwise in writing.
Any third-party components, libraries, fonts, or stock imagery used in your project remain subject to their own licences. We will inform you of any licence restrictions that apply to your project.
9. Hosting and Uptime
We deploy websites to Vercel's infrastructure. Whilst we aim for maximum uptime, ITS does not guarantee 100% availability and shall not be liable for any downtime caused by third-party hosting providers, domain registrars, or circumstances beyond our control.
10. Limitation of Liability
To the fullest extent permitted by law, ITS shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with our services, including but not limited to loss of profits, loss of data, or loss of business opportunity.
Our total liability to you in any circumstances shall not exceed the total fees paid by you to ITS in the 12 months preceding the claim.
11. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the engagement. This obligation survives termination of the agreement for a period of two years.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify existing clients of any material changes by email with at least 30 days' notice. Continued use of our services after that date constitutes acceptance of the revised Terms.
